Overthelastfewyears,wehavespentasignificantamountoftimetalkingtoourlargestshareholdersabout theuniquenatureofourbusiness—particularlyitslong-termcharacteristics.Wehavebettercommunicated throughengagementandthroughourproxyhowourexecutivecompensationsystemistiedtothekey elementsthatcreateeconomicvalueinapropertycasualtyinsurancecompany.Itisperformancebasedand emphasizeslong-termrisk-adjustedreturnsandvaluecreationtogiveourpeopleavestedinterestinthelong- termsuccessoftheenterprise. Asstewardsofthecompany,oneoftheBoard’skeyrolesisoverseeingstrategy,andadecisiontoconducta transactionlikethiswastheproductofaniterativeBoarddiscussion.TheBoardspentasignificantamountoftimeduringits regularBoardmeetingsaswellasspeciallycalledBoardmeetingsdiscussingtherisksandopportunitiespresentedbythis transaction,andprovidingguidancetomanagementthatledtothesuccessfulsigningofthetransaction. OurBoardiscomprisedofdiverseandindependentdirectorswithskillsandexperiencestosupportourstrategyand positionusforlong-termsuccess InJuly2017,weannouncedourthenleaddirector,FrederickS.Hubbell,resignedfromourBoardduetothe demandsfromhiscandidacyforGovernorofIowa.WearegratefultoFredforhisvaluablecontributionstoourBoard.In connectionwithFred’sresignation,theBoardappointedDavidZwienerasthenewleaddirector.Davebringswithhimdeep industryexperienceaswellasextensiveexperienceasadirectorofotherpubliccompanies.
